# General Terms of Use

Welcome to GIMI, a platform operated by TQOE Lda. a private limited Company registered at the Commercial Registry Office under the legal person identification number 516.994.042, with its registered office at Edifício Diogo Cão, Doca de Alcântara Norte, 1350-352 Lisboa, parish of Estrela, municipality and district of Lisboa, Portugal ("we," "us," "our," or "GIMI"). These Terms of Use (also referred to as "Terms and Conditions" or "T\&C") govern your access to and use of the GIMI platform and its associated services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and Conditions, our Privacy and Cookies Policy, and any other rules or policies referenced herein. If you do not agree to these Terms and Conditions, please refrain from using the Platform.

GIMI is a Platform where organizations including brands, agencies, labels, IP owners, etc. may launch campaigns and content creators may submit original content related to the campaigns and earn from the engagement it generates across social media platforms.

These Terms of Use govern your use of all services offered on the Platform (the "Services") and constitute a legally binding agreement (the "Agreement") between content creators (referred to as "Contributor(s)") and GIMI and between organizations (referred to as “Brand(s)”) and GIMI. Contributors and Brands are both hereinafter referred to as “User(s)”.&#x20;

The Services provided by GIMI are intended for individuals or legal entities who seek to use the Services for commercial or professional purposes. The Services in question are not intended for consumers.

These Terms and Conditions are made available exclusively in the English language.&#x20;

### Acceptance of These Terms of Use

Before accessing and using the Platform, Users must read, understand and accept these Terms and Conditions. By registering an account, submitting content, linking social media accounts, or otherwise using our Services, Users confirm that they are at least 16 years old. Users who do not agree with these Terms and Conditions, or who are under 16 years of age, are not permitted to use the Services.

### Our Creative Community and Services

GIMI is designed to empower a global creative community by enabling Contributors to submit content directly to campaign environments hosted by various Brands. In this context, a Brand can be an influential individual, a consumer-facing company, an agency, an entertainment entity, or a Web3 project.&#x20;

Using the Platform, Brands launch interactive campaigns highlighting what content they want Contributors to create.&#x20;

In return, Brands add money to a reward pool and, depending on the campaign, Brands may offer personalized rewards for top-performing or selected submissions. All campaign rewards, terms, and participation criteria are disclosed in advance through the relevant campaign interface.

Contributors can submit general content or participate in campaign-based content activations (similar to contests). Each campaign has its own set of rules, objectives, and intellectual property (IP) terms. Brands initiate campaigns by providing creative assets and guidelines, and Contributors then remix, reinterpret, or generate new content based on the campaign brief. This structure allows creators to actively participate in the GIMI ecosystem. Content submitted to GIMI appears as a published “block” and is showcased to the Brand’s audience.

Each campaign is governed by specific terms and conditions set by the Brands . Contributors are responsible for reviewing and accepting the specific terms and conditions of each campaign before submitting their content. These campaign-specific terms define the scope of IP ownership and usage rights for the submitted content, which may include:

* Full IP retention by the Contributor: The Contributor keeps complete ownership of its content and the respective IP rights;<br>
* Conditional IP transfer: The Contributor transfers IP rights to the Brand under certain conditions (for example, only if its content is selected as a winner);<br>
* Complete assignment of IP rights to the Brand: The Brand receives full ownership of the IP rights of the content under the conditions stated in the campaign.<br>

However, the campaign-specific terms may not override these general Terms of Use in case of any conflict.

GIMI enhances content discoverability and visibility by indexing and distributing all approved content through the Platform’s interface and via the Brand’s social channels or social graph. This ensures that creative contributions gain exposure to the broad audience connected with the Brand.

### Brands and Their Role on GIMI

On GIMI, Brands are verified individuals or organizations (such as consumer brands, public figures, creative agencies, entertainment companies, and Web3 projects) that launch creative campaigns. Each campaign is time-limited; the Brand sets a clear objective, provides branded assets, outlines content guidelines, and allocates a budget to each campaign (reward pool). Contributors from the Brand’s community or audience are then invited to create and submit content inspired by the campaign’s brief, which they publish on their own social media profiles (e.g., TikTok, X (Twitter), YouTube, Instagram, or Facebook).

Brands are responsible for:

* Content Integrity: Uploading only original or properly licensed content to serve as inspiration for the campaign. All campaign materials (videos, images, audio, text, etc.) must be copyright-free or used with necessary permissions;<br>
* IP Terms: Setting clear intellectual property terms for the campaign (for example, specifying whether Contributors retain ownership of their submissions or whether the Contributors transfer IP rights to the Brand);<br>
* Rewards: Depositing the monetary reward, defining the reward mechanics (e.g., types of rewards and selection criteria) and fulfilling all promised rewards to Contributors in a timely manner;<br>
* Reward Pool Fee: Paying GIMI a fee for the Services provided via Platform, consisting of a percentage of the reward pool;<br>
* Campaign Management: Reviewing submissions, shortlisting finalists, and spotlighting notable content using GIMI’s provided tools.<br>

While GIMI provides the infrastructure to track performance metrics, manage submissions, and automate certain reward distributions, the Brand remains solely accountable for honouring its promises towards Contributors and operating within legal boundaries. By launching a campaign, the Brand accepts full liability for the campaign and agrees to abide by GIMI’s Platform rules as well as these Terms and Conditions. This includes delivering any advertised rewards to Contributors and ensuring that all campaign activities comply with applicable laws and with these Terms and Conditions. GIMI shall not be responsible for any claims, demands, losses, costs, damages, actions, suits or proceedings arising out of the campaigns launched by the Brands.

### Creation of an account

To use the Platform, Users must have an account on the Website. Brands create an organisation account, and Contributors create a profile.

#### Profile

To create a profile, Contributors should disclose their e-mail address and password. After verifying their e-mail, it is necessary to choose a unique username and disclose some information, such as the location (country), gender, content and interests.

Contributors are then required to confirm that they read and agreed with the Terms and Conditions and that they read and understood the Privacy Policy.

#### Organisation account

To create an organisation account, Brands should disclose their e-mail address and password. (…).

Brands are then required to confirm that they read and agreed with the Terms and Conditions and that they read and understood the Privacy Policy.

### Purchase process (Brands)

Once logged in, Brands should select a plan:

* Start – free subscription plan;
* Enterprise – custom subscription plan for large organizations.

### Content Participation on GIMI

Contributors—including fans, creators, and members of a Brand’s audience—can participate in campaigns by creating content inspired by the Brand’s creative prompt. Participation is free for Contributors with a registered GIMI account. To join a campaign as a Contributor:

1. Obtain Campaign Assets: Download the Brand’s campaign asset kit and review the campaign brief and specific terms and conditions;<br>

2. Create Your Submission: Develop original or remixed content aligned with the campaign brief (for example, AI-edited visuals, mashup videos, voiceovers, or scene recreations using the provided assets);<br>

3. Publish on Social Media: Post the content on  linked social media accounts (such as TikTok, X (Twitter), Instagram, YouTube, or Facebook) as required by the campaign instructions;

4. Submit your Content: Submit the post URL into the campaign page;<br>

5. Earn Creator Credits: Ensure your GIMI account is linked to the posts. As people engage with the content (through likes, shares, comments/replies, and views), Contributors earn Creator Credits (“CC”) based on verified engagement metrics, which represent dollar earnings.<br>

All Contributor submissions undergo a moderation process. Brands are notified of new content submissions and have tools to manage and review content. Content that passes moderation is approved and becomes eligible for engagement tracking. Creator Credits are tallied and updated every 24 hours based on Contributor’s content’s performance.

Contributors can check the CC earned and redeem their accumulated CC for monetary rewards once they meet the minimum redemption threshold set by the Platform. To withdraw these rewards, it is necessary  to add a supported payout method or account. 1 CC is equivalent to a fixed $1 USD in value. Payouts are available either in the form of USD Coin (USDC, a U.S. dollar–pegged stablecoin) or via fiat currency through our payment partner(Tipalti), reflecting the value of CC in USD. Contributors are solely responsible for any taxes or fees associated with any rewards received. For fiat payouts, Contributors may be required to provide additional information or verification (such as their tax identification number or identity documentation) through our payment provider in order to receive your funds.&#x20;

Contributors may also spend their earned CC on optional features such as re-submissions, boosting content and early access to campaigns.&#x20;

While GIMI automates content visibility and credit calculations, each Brand is solely responsible for delivering the actual rewards promised in their campaign. By submitting content to a campaign, Contributors  confirm that they understand and accept that campaign’s specific IP and content usage terms and conditions set by the Brands. They also guarantee that the content is original and does not infringe upon any third-party rights. Furthermore, they agree to abide by these Terms and Conditions and any additional campaign rules when participating.Platform visitors who do not contribute with content can still engage with the Platform. Even as an observer, they may explore ongoing campaigns, view submissions, and support creators by liking or sharing content—provided they have an active GIMI account.

#### Artificial Intelligence

#### The Platform uses Artificial Intelligence (AI) to review the content generated by the Contributor in order to verify if it is compliant with the campaign’s rules and GIMI’s community standards. Content is moderated using both automated systems and manual assessment. The AI does not generate any content, nor does it manipulate the Contributor’s content.&#x20;

The Contributor acknowledges that the AI used by GIMI shall not take any decision regarding the Contributor’s generated content, the final decision regarding the approval of the content is made by human review.

#### No Artificial Engagement

Contributors are strictly prohibited from using bots, fake accounts, or any form of automation to inflate their content’s engagement metrics. Contributors  may not attempt to manipulate the performance of their submissions (or others’ submissions) through any fraudulent or artificial means. GIMI reserves the right to take immediate action against such behaviour. Such action may include:

* Removal or disqualification of the offending content (for example, deleting the submission or marking it as ineligible);<br>
* Permanent suspension of the offending account;<br>
* Forfeiture of all accumulated CC and any pending rewards;<br>
* Disqualification from current and future campaigns.

GIMI will determine what constitutes fraudulent activity or manipulation, and all decisions in this regard are made at GIMI’s sole discretion.

### Submitted Content and Associated Rights

When Contributors submit content to a campaign, they represent and warrant that their work is original  and does not violate any applicable laws or any copyright, trademark, or other rights of any third party. Contributors retain ownership of the content they create and submit, except in cases where a campaign’s specific terms explicitly stipulate a different arrangement (such as a transfer of rights to the Brand).

Each Brand defines the licensing terms for its campaign. These campaign-specific terms will outline how both Contributors and Brands are permitted to use the submitted content. For example, a campaign’s terms may specify that submissions are limited to:

* Non-commercial use only: content (and any Brand-provided assets within it) can only be used for personal or engagement purposes and cannot be sold or commercially exploited by any party;<br>
* Limited commercial use: content can be used in monetized contexts (e.g., earning ad revenue on social platforms or receiving Creator Credit rewards on GIMI), but there may be some restrictions on resale or broad commercial distribution;<br>
* Full commercial licensing: content may be licensed or used commercially by the Brand (or by the Contributor) as permitted, potentially contingent on performance or selection (for example, winners might grant the Brand a license to use the content in marketing).

GIMI’s role is to facilitate these campaigns and to ensure that Brands clearly communicate the scope of permissible use for any provided assets and for Contributor submissions. We provide the technical infrastructure for content submission, distribution, and the management of IP-related metadata, but we do not take ownership of  submitted content.

The following rights and benefits are granted to Contributors when participating in a campaign:

* Use the Brand’s provided assets only for the purpose of creating and submitting content to that campaign, and only in line with the campaign’s specified licensing scope and creative guidelines;<br>
* Retain the intellectual property rights of original contributions, regardless of the outcome of the campaign, unless the specific terms and conditions of a campaign clearly require Contributors to transfer or license those rights to the Brand;<br>
* Earn CC based on the genuine engagement their content receives across social media platforms (measured via views, likes, shares, and replies, as verified by the Platform);<br>
* Redeem accumulated CC for monetary rewards (e.g., converting CC to USD payouts) once they meet the eligibility criteria and follow the redemption procedure.<br>

By submitting content, Contributors agree to follow the campaign’s rules for content use and licensing. As well as the scope of the license they receive from the Brand (for using their assets) and the license or rights they may be granting to the Brand or GIMI (as specified by the campaign’s terms).

GIMI strives to maintain transparency in how content and IP rights are handled on the Platform. We do not claim any ownership over submitted content, and Contributors rights to their work remain theirs except where they have explicitly agreed to share or transfer those rights under a campaign’s terms.}

### The Funding System

GIMI uses a performance-based accounting mechanism to fairly and transparently distribute campaign rewards. Brands deposit funds in USD, and those funds are distributed using a proprietary engagement score that evaluates content performance across social media (likes, shares, replies, and views).

These funds are represented internally as CC to allocate rewards within the system. CC are not a stored value or currency, and they cannot be transferred, traded, or purchased. They are a closed accounting unit representing dollars earned through performance.

The reward pool is allocated to Contributors in two primary ways:

* Performance-Based Distribution: The majority of the CC reward pool is distributed proportionally to Contributors based on the verified engagement their submissions receive. In other words, the more genuine likes, shares, replies, and views their content accumulates (relative to other submissions in the campaign), the more credits they earn from the reward pool.<br>
* Spotlight Tipping: Brands have the option to allocate a portion of the reward pool as bonus credits to highlight and reward standout submissions. A Brand may “spotlight” certain content that exemplifies creativity, effort, or alignment with the campaign’s objectives, and grant additional CC to those Contributors. Spotlighted content may also receive increased visibility on the Platform.
* Approval Bonus: Brands may allocate and distribute a predetermined portion of the Reward Pool to users whose submitted content has been reviewed and approved in accordance with the applicable campaign criteria and platform guidelines.

Contributors accumulate CCs through these mechanisms over the course of the campaign. As explained above, Contributors can request to redeem their earned CCs for cash once they have met any minimum redemption threshold set by the Platform. Payouts are available either in the form of USD Coin (USDC, a U.S. dollar–pegged stablecoin) or via fiat currency through our payment partner (Tipalti). Contributors are solely responsible for any taxes or fees associated with any rewards they receive. GIMI will not withhold taxes on behalf of the Contributor. This funding system is designed to reward authentic engagement and creative effort while allowing Brands to directly incentivize their community in a transparent and compliant manner.

### Ownership of Creations and the Services

Except where otherwise specified in a particular campaign’s terms and conditions, any content created and shared through a campaign remains Contributor’s intellectual property. Brands that launch campaigns are required to outline what licensing rights they are asking for —whether they only need a limited right to use the content for promotional purposes or whether they intend to obtain broader usage or ownership rights. Contributors must review the campaign’s specific terms and conditions carefully to understand what rights they are granting to the Brand.

GIMI does not claim ownership of any content submitted by Contributors. Our Platform serves as a neutral host and facilitator for the creative process. We enable:

* The submission and distribution of content to the Brand’s campaign and audience;<br>
* The recording of pertinent information about the content and any applicable IP rights or licenses (to ensure clarity on who owns what and how content can be used);<br>
* The processes for content moderation, display on the Platform, and reward redemption associated with content submissions.<br>

In essence, GIMI provides the tools and infrastructure, but the creative works remain yours unless you explicitly agree to transfer them. If a campaign’s terms include an exclusive license or a full transfer of IP rights to the Brand (for example, some contests might require that winning entries become the property of the Brand), those conditions will be clearly stated before you submit to that campaign. Contributors are never obligated to surrender rights to their work unless they voluntarily choose to participate under such terms.

Contributors retain the right to use their own content for other purposes outside of GIMI, unless the campaign’s specific terms explicitly place restrictions on doing so (such as a requirement that they do not reuse the content elsewhere, or that they grant exclusivity to the Brand). If any such restrictions or transfer of rights are part of a campaign, Contributors will be informed of them in advance as part of that campaign’s specific rules.

GIMI’s own trademarks, logos, and branding (the “GIMI” name, logo, etc.) remain our exclusive property. Likewise, all third-party trademarks or assets (for example, Brand logos or media provided in a campaign) remain the property of their respective owners and are used on the Platform solely in accordance with the campaign’s specific terms and conditions and the owners’ permissions. Nothing in these Terms and Conditions or on the Platform grants any rights to use any third-party intellectual property outside of Contributor’s participation in a campaign, and then only in the ways that the campaign explicitly allows.

By participating in campaigns, Contributors agree to respect all intellectual property boundaries set forth by both the Brands and GIMI. Contributors acknowledge that their use of any Brand assets will follow the campaign’s specific guidelines, and any use of their submitted content by the Brand or others will adhere to the licensing terms they agreed to in that campaign.

### Obligations of the Brands

Brands that launch campaigns on GIMI must adhere to the following obligations:

* Content Integrity: Once user-submitted content is approved and published as part of a campaign, the Brand may not unilaterally remove, alter, or misuse that content. Brands should honour the integrity of Contributor submissions. Removals or alterations are only permitted if the content violates the campaign’s guidelines or is deemed inappropriate under GIMI’s community standards (in which case GIMI’s moderation policies will apply);<br>
* Legal Compliance: Brands must ensure that all materials they upload or provide for a campaign (including videos, images, audio, text, or other assets) are either original to the Brand or properly licensed for the intended use. The Brand is solely responsible for securing any necessary rights and permissions for these campaign assets. GIMI is not liable for any copyright or IP violations in the Brand’s provided materials;<br>
* Originality and Liability: By providing content and prompts for a campaign, the Brand confirms that using these materials in Contributor submissions will not infringe on any third-party intellectual property rights. The Brand accepts full liability for any claims or legal issues that arise from the use of the Brand’s campaign content. In the event of a dispute or claim (such as a copyright infringement allegation related to the Brand’s materials), the Brand agrees to compensate GIMI for any damages, losses, including legal fees, incurred due to such issues;<br>
* Indemnification of Platform: Brands agree to indemnify and hold GIMI (including our affiliates and users) harmless from any losses, liabilities, or costs (including reasonable legal fees) that result from:<br>
* The Brand’s failure to deliver promised rewards or fulfil campaign obligations;<br>
* Any misrepresentation by the Brand regarding the campaign’s licensing or IP terms;<br>
* Content or assets provided by the Brand for the campaign (for example, if the Brand’s provided media is used without proper permission and a third party takes legal action);<br>
* Any legal disputes initiated by third parties that stem from the Brand’s campaign or conduct on the Platform.

For the avoidance of doubts, GIMI shall not be responsible for any claims, demands, losses, costs, damages, actions, suits or proceedings arising out of the campaigns launched by the Brands.<br>

* Respectful Conduct: Brands must conduct themselves in a professional and respectful manner on GIMI. This means refraining from any behaviour or public communications that could harm GIMI’s reputation, its community, partners, or other Users. Harassing, defamatory, or offensive behaviour by a Brand (or its representatives) is strictly prohibited;<br>
* Content Usage Rights to GIMI: The Brand grants GIMI the right to use and display the Brand’s name, logo, and any campaign-related media assets solely for the purposes of operating the campaign and promoting it within the Platform. For example, GIMI may show the Brand’s logo and campaign images on the campaign page, in promotional emails, or in presentations showcasing the Platform. GIMI will not use the Brand’s content outside of the Platform’s context without permission;<br>
* Intellectual Property Rights Management: Any intellectual property created by the Brand (such as the Brand’s own campaign assets or original content uploaded to GIMI) remains the Brand’s property. However, GIMI may act as a neutral host or repository for campaign content and related assets as part of providing the campaign infrastructure. Brands must also respect the ownership and licensing of user-generated content as defined by each campaign’s specific terms — meaning Brands can only use submissions in accordance with the permissions granted by the Contributors;<br>
* Platform Interaction: By running a campaign on GIMI, Brands acknowledge that Contributors might remix or adapt the Brand’s campaign materials in their submissions (within the boundaries of the campaign’s rules). This collaborative creative process is core to GIMI’s value. Brands should not unduly restrict derivative creativity beyond what is specified in the campaign terms. GIMI will facilitate these creative interactions and will not prevent Contributors from interpreting the Brand’s prompt in various creative ways, so long as they remain within the allowed scope;<br>
* No Promotion Guarantee: GIMI will make the campaign visible on the Platform and to the Brand’s connected audience as part of normal operations, but GIMI is not obligated to provide any additional promotion or marketing for the Brand’s campaign beyond the standard Platform features. Any extra promotion (for example, featuring the campaign on GIMI’s home page or social media channels) is at GIMI’s discretion;<br>
* Media Rights for Platform: GIMI reserves the right to feature the Brand’s campaign and associated content in its own promotional materials, case studies, or archives, even after the campaign concludes. For instance, GIMI might include a screenshot or description of the Brand’s campaign in a portfolio of successful campaigns or keep the campaign’s content accessible as part of a historical archive. This usage will be limited to the context of showcasing the Platform’s functionality and community creativity;<br>
* Funding and Reward Distribution: By using GIMI, the Brand authorizes GIMI to manage the distribution of the campaign’s reward pool (the Creator Credits) according to the rules the Brand configured. GIMI will handle the technical aspects of tracking engagement and allocating CC. The Brand is responsible for ensuring the reward pool is adequately funded and for approving any manual rewards (like spotlight tipping) through the provided tools.

### Use of the Services and Community Guidelines

When using the GIMI Platform and Services, both Contributors and Brands agree to act lawfully, respectfully, and in a manner that contributes to a positive creative community. Any misuse of the Platform, campaigns, or community features can result in immediate suspension or a permanent ban from GIMI.

Prohibited Conduct: Contributors and Brands may not use the Platform (including any campaign or community feature) to:

* Harm, disrupt, or interfere with the security or performance of GIMI or our Users’ data (For example, attempting to bypass security measures, overloading the system, or launching any form of malicious attack);<br>
* Violate any applicable law or regulation or infringe upon the rights of others (including intellectual property rights and privacy rights);<br>
* Post or share content that is illegal, false, misleading, threatening, malicious, abusive, injurious, invasive of privacy, offensive, defamatory, obscene, pornographic, harassing, hateful, discriminatory, harmful or offensive to the dignity of persons or that otherwise violates good standards of conduct;<br>
* Upload or distribute malware, viruses, or any malicious code that could compromise the Platform or other Users’ devices;<br>
* Misrepresent your identity or affiliation, or impersonate any other person or entity (including other Contributors or Brands);<br>
* Engage in any activity that undermines the integrity of GIMI’s Services or reputation. This includes attempting to decompile or reverse-engineer the Platform or using the Platform in a way not authorized by GIMI.<br>

If Contributors use AI to generate or modify content, it is their sole responsibility to comply with all applicable legislation, including Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 (Artificial Intelligence Act).

#### Botting, Engagement Farming and Artificial Manipulation

GIMI strictly prohibits any attempt to manipulate engagement metrics or exploit the reward system. Any behaviour aimed at manipulating the system is not allowed. This includes, but is not limited to:

* Using bots, scripts, click farms, fake accounts, or any automated means to artificially inflate views, likes, shares, or comments on content;<br>
* Coordinating with groups or using multiple accounts to repeatedly boost engagement in a non-genuine way solely to increase CC earnings;<br>
* Copy-pasting, reposting, or spamming identical or low-effort content across multiple campaigns to gain visibility or rewards without providing real creative value.<br>

If a Contributor is found to be engaging in any form of artificial engagement or fraudulent activity, GIMI reserves the right to take immediate action. Such action may include removing or disqualifying the content, permanently banning the Contributor from the Platform, and forfeiting any accumulated CC or rewards. GIMI may audit content and engagement patterns at any time (using both internal monitoring and external analytic tools) to enforce these rules. All decisions regarding fraudulent activity and enforcement are made at GIMI’s sole discretion.

Platform Security and Access

Users must not attempt to access areas of the Platform or servers that are not intended for public use. Any attempt to bypass access restrictions, to test the vulnerability of our systems, or to breach any security or authentication measures is prohibited. Similarly, Users are not allowed to tamper with or remove any rights management information, digital watermarking, or security features embedded in the Platform or in any content. Unauthorized collection of user data or campaign metadata (for example, scraping information without permission) is also strictly forbidden.<br>

### Privacy and Data Protection

The User’s personal data, or that of their representatives, shall be processed in accordance with GIMI’s Privacy and Cookies Policy (available here), which is accessible on the website.

### Security Measures

GIMI is committed to maintaining a secure and reliable Platform. We implement a range of security measures to protect our systems and Users; however, no platform is 100% immune to risks. We do not guarantee that the Platform will be free of viruses, malware, or other harmful components at all times. We encourage Users to use up-to-date security software on their devices and to exercise caution when interacting with any online service.

To preserve the integrity and performance of our Services, GIMI may occasionally need to impose temporary restrictions or take proactive measures without prior notice. For example, we may:

* Temporarily limit or throttle certain activities or access in order to prevent abuse or system overload;<br>
* Block specific IP addresses or accounts that are detected engaging in suspicious, harmful, or unauthorized activities;<br>
* Suspend accounts or content that pose security risks or violate these Terms and Conditions;<br>
* Temporarily disable the Platform for maintenance, updates, or security upgrades (we strive to schedule maintenance during low-usage periods when possible).<br>

These actions are intended to protect our community and infrastructure. We understand that they may be inconvenient, but they are sometimes necessary to ensure the long-term security and viability of GIMI.

### Service Availability and Access Restrictions

While we strive to keep GIMI available and fully functional at all times, we may suspend or restrict access to the Platform (in whole or in part) for various reasons. Such cases include:

* Security or Safety Concerns: We may limit or block access if needed to protect the security of User data, communications, or our systems (for example, in response to a detected attack or critical vulnerability);<br>
* Maintenance and Upgrades: Periodic maintenance, system updates, or improvements may require us to temporarily disable the Platform or disable certain features. We aim to minimize disruption, but emergency fixes or updates may occur without notice;<br>
* Legal Compliance: Changes in laws or regulations, or orders from government authorities, might necessitate restricting access to certain features, Users, or regions to ensure compliance;<br>
* Detection of Misuse: If we suspect a User or group of Users is engaging in fraud, abuse, unauthorized data scraping, botting, or any activity prohibited by these Terms and Conditions, we may suspend or restrict their access (either temporarily during investigation or permanently);<br>
* Protecting the Community: Any behaviour that threatens the stability of the Platform, the fairness of campaigns, or the well-being of the community can result in access restrictions. This includes activities that could overburden our infrastructure or significantly harm GIMI’s reputation.<br>

GIMI reserves the right to shut down the Platform or disable specific features at our discretion, whether temporarily or permanently, with or without prior notice. We also reserve the right to ban or refuse service to Users whose repeated behaviour is harmful, toxic, or contrary to the spirit of the community and campaign participation. This includes rejecting content contributions from such Contributors or removing them from ongoing and future campaigns.

### Termination of Use

We hope to foster a long-term creative community, but GIMI may terminate or restrict access to the Platform and Services whenever it has justified reasons to do so. This includes (but is not limited to) situations involving violation of these Terms and Conditions, suspected fraudulent or illegal activities, or actions that we determine are harmful to the GIMI ecosystem or other Users. Such termination may occur without prior notice. If an account is terminated, Contributors may lose access to any content or credits associated with their account, subject to our data retention policies and the terms of any specific campaign.

### Indemnification

To the fullest extent permitted by law, Users agree to indemnify and hold harmless GIMI, along with our officers, directors, employees, partners, affiliates, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:

* User’s access to or use of the Platform and Services;<br>
* Any content submitted on the Platform (or that is submitted from the User’s account), including any intellectual property disputes or allegations that their content infringes or misappropriates the rights of a third party;<br>
* Any breach or violation of these Terms and Conditions by Users;<br>
* Violation of any applicable law or regulation in connection with User’s activities on GIMI;<br>
* Any claim from a third party based on User’s actions, content, or information on the Platform.<br>

Users agree to cooperate with GIMI in good faith in the defence of any such claim. We reserve the right to assume exclusive control of the defence of any matter subject to indemnification by Users (at our own expense), and Users agree not to settle any such matter without our prior written consent.

### Disclaimer of Warranties

Users’ use of GIMI is at their own risk. The Platform and all Services are provided on an “as is” and “as available” basis. To the maximum extent allowed by applicable law, GIMI disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Platform and Services. This includes, but is not limited to:

* Implied Warranties: We do not provide any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. In plain terms, we are not making promises that the Platform will meet all Users’ needs, work perfectly for any specific purpose, or operate without error;<br>
* Service Quality and Uptime: GIMI does not guarantee that the Platform will be continuously available, uninterrupted, or error-free at all times. We do not warrant that any specific outcomes or results (for example, success in a campaign or a certain level of engagement for Contributor’s content) will be achieved through the use of the Platform.<br>

We make no promises or guarantees about any potential earnings or value Contributors may obtain through the Platform. CC and campaign rewards are provided as described, but they are not guaranteed to have monetary value beyond what is explicitly stated (e.g., 1 CC = 1 USD for redemption purposes).

### Limitation of Liability

Under no circumstances will GIMI, or any of our affiliates, directors, officers, employees, or agents be liable to Users for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or related to their use of (or inability to use) the Platform or Services. This limitation of liability applies to any claim, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the fullest extent permitted by law.

Additionally, to the extent permitted by applicable law, GIMI (and its affiliated parties) shall not be liable for any damages or losses resulting from:

* Service Interruptions: Use of, or inability to use, the Platform, including any delays, interruptions, errors, data corruption, communication failures, or unauthorized access incidents;<br>
* External Issues: Technical failures of external networks or services beyond our control (for example, internet outages, disruptions in social media platforms or other third-party integrations that GIMI relies on);<br>
* Third-Party Services: The suspension, malfunction, or misuse of third-party services, hosting infrastructure, or external APIs that are integrated with or used by the Platform;<br>
* Malicious Acts: Illegitimate actions or misconduct by third parties, including hacking, phishing, denial-of-service attacks, or fraud that may affect the Platform or its Users.<br>

Nothing in these Terms and Conditions shall exclude or limit GIMI’s liability for its own gross negligence or wilful misconduct, or any other liability that cannot be excluded under applicable law.

### Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court or other authority of competent jurisdiction, that provision shall be modified to the narrowest extent necessary to make it enforceable (and if modification is not possible, that provision shall be deemed severed from these Terms and Conditions). In either case, the remaining provisions of the Terms and Conditions will remain in full force and effect. Our failure to enforce any right or provision of these Terms and Conditions in a given instance shall not constitute a waiver of that right or provision.

### Changes and Amendments

GIMI reserves the right to amend, modify, update, or remove, in whole or in part, these Terms and Conditions, at any time. Changes will take effect immediately upon being posted on our Website or Platform. It is your responsibility to review these Terms and Conditions periodically for any updates.

If we make significant changes to the Terms and Conditions, we will attempt to notify Users through appropriate channels (for example, via an announcement on the Platform or an email notification, if you have provided an email address). By continuing to access or use GIMI after updated Terms and Conditions have been posted or sent by e-mail, you will be deemed to have accepted the changes. If you do not agree with any modifications to the Terms and Conditions, you must stop using the Platform and Services.

### Governing Law and Jurisdiction

This Agreement and any disputes arising from or relating to these Terms and Conditions or your use of the Platform shall be governed by and interpreted in accordance with the laws of Portugal, without regard to conflict-of-law principles. Users and GIMI agree that any such disputes will be subject to the exclusive jurisdiction of the courts located in Lisbon, Portugal, to the fullest extent permitted by applicable law. You agree to submit to the jurisdiction of such courts and waive any objections to the convenience or appropriateness of such venues.
